MOJO TERMS OF SERVICE
Last Updated: [Launch Date]
Important Notices
ARBITRATION & CLASS WAIVER. These Terms contain a binding arbitration clause and class action waiver (Section 11). You may opt out within 30 days of account creation per Section 11.4. This affects how disputes are resolved.
NOT INVESTMENT ADVICE. Mojo is a technology platform. Nothing in the Services is investment advice, a recommendation, or a solicitation. AI-generated content is informational only and may be inaccurate.
RISK. Trading digital assets involves substantial risk of loss. You may lose all of your funds.
US USERS. Copy trading, perpetual futures, and prediction markets are not available in the United States. The Services are also unavailable to residents of New York State.
1. Acceptance and Changes
These Terms of Service (the "Terms") are a binding agreement between you ("you") and MindOrigin Pte. Ltd., a company incorporated in Singapore (UEN 202553297G, registered office: [Registered Address], doing business as "Mojo"; "we" or "us"). The Mojo Privacy Policy is incorporated by reference.
By creating an account, connecting or generating a wallet, or otherwise using the Mojo mobile application, website, or API (collectively, the "Services"), you confirm that you have read, understood, and agreed to these Terms. If you do not agree, stop using the Services immediately.
We may update these Terms from time to time. Material changes will be notified through the App or by email at least seven (7) days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms. We may also add, change, suspend, or discontinue any part of the Services at any time, including features, supported venues, chains, fees, and AI models.
2. Eligibility and Geographic Limits
You represent and warrant that:
- (a) you are at least 18 years old and have full legal capacity;
- (b) you are not a resident of, located in, or a national of any jurisdiction on any sanctions list administered by OFAC, the UN Security Council, the EU, the UK, Singapore, or any other applicable authority (including but not limited to North Korea, Iran, Syria, Cuba, Crimea/Donetsk/Luhansk, and sanctioned regions of Russia); you are not on any SDN or equivalent list; and you are not directly or indirectly owned or controlled (50% or more) by any sanctioned entity;
- (c) you are not a resident of, or physically located in, Mainland China (Hong Kong SAR, Macau SAR, and Taiwan are not included in this restriction);
- (d) you are not a resident of, or physically located in, the State of New York. Mojo does not hold a New York BitLicense (23 NYCRR Part 200) and does not offer virtual currency business activity to New York residents;
- (e) your use of the Services does not violate any law applicable to you, including export control laws administered by the U.S. Department of Commerce (Export Administration Regulations) and OFAC.
US feature restrictions. If you are a resident of or located in the United States (outside of New York, where all Services are unavailable), the following features are not available to you and you agree not to access them via VPN or other circumvention: (i) copy trading and any feature that automatically replicates another user's trading signals; (ii) perpetual futures, margin, or leveraged derivatives; (iii) prediction markets. Circumventing these restrictions constitutes a material breach of these Terms.
We may use IP geolocation, device signals, account attestations, wallet screening, and similar lawful tools to verify eligibility. If you do not meet the requirements above, we may restrict, suspend, or terminate your access without liability.
3. The Services and What Mojo Is Not
3.1 The Services
Mojo is a non-custodial, AI-assisted software interface that helps users analyze digital asset markets and broadcast user-signed transactions to third-party blockchain venues. The Services include: (a) aggregation and display of publicly available market data and analytics; (b) AI-assisted features that generate informational analysis and educational content based on your inputs and public data; (c) a self-signing interface that constructs transactions, co-signs with your authorization, and broadcasts user-signed transactions to independent third-party venues and DEX aggregators; (d) non-custodial wallet functionality via an infrastructure partner; and (e) optional paid subscription tiers.
No liquidity provision; no counterparty role. Mojo does not itself hold, offer, quote, or make markets in any digital asset. Mojo does not act as principal or agency counterparty to your trades and does not match buyers and sellers. Liquidity, pricing, and trade settlement are provided by independent third-party venues and their market participants; Mojo's software only constructs and broadcasts your already-signed transactions to those venues.
3.2 What Mojo Is NOT
Mojo is not, and does not hold itself out as:
- (a) a bank, broker, dealer, broker-dealer, money transmitter, exchange, custodian, or any other regulated financial institution;
- (b) an investment adviser, financial adviser, fiduciary, portfolio manager, or tax adviser. Given its non-custodial, non-discretionary design, Mojo does not intend its Services to constitute "investment advice," "order execution," "portfolio management," "reception and transmission of orders," or "issuance of financial instruments" under any applicable financial services law, including the U.S. Investment Advisers Act of 1940, EU MiFID II, EU MiCA, UK FSMA 2000, the Singapore Securities and Futures Act 2001, or the PSA;
- (c) a licensee of the Monetary Authority of Singapore under the Payment Services Act 2019 ("PSA"). Mojo does not (i) hold, control, or have unilateral access to user assets; (ii) match buyers and sellers; (iii) quote as principal; (iv) accept fiat currency; or (v) transmit money. Mojo does not accept fiat deposits and does not engage in regulated payment services;
- (d) a provider of personalized investment recommendations. Any adaptation of outputs based on your inputs is contextual personalization of an informational tool, not a personal recommendation by a licensed adviser, and does not constitute "automated decision-making" producing legal or similarly significant effects within the meaning of GDPR Article 22; and
- (e) responsible for the operation, solvency, or security of any third-party venue, infrastructure partner, or blockchain network.
Mojo owes you no fiduciary, advisory, or similar duty. All trading decisions are your own.
4. Wallet, Keys and Authorized Broadcasting
4.1 Non-Custodial MPC Architecture
Mojo uses Multi-Party Computation ("MPC") technology provided by an infrastructure partner. Your wallet private key is mathematically split into multiple shards: one shard resides on your device (the "User Shard"); the remaining shards are encrypted and held by Mojo and/or our infrastructure partner (the "Server Shards"). Mojo never possesses or has visibility of your full plaintext private key. Your digital assets reside on public blockchains at an address controlled by you. The Services are non-custodial.
4.2 Pre-Signed Authorization for Automated Broadcasting
When you configure an automated feature (including limit orders, stop-loss, take-profit, conditional orders, or scheduled trades), you grant Mojo a limited, revocable authorization to combine its Server Shards with a cryptographic signature generated from the parameters you pre-approved in the configuration UI, solely to construct and broadcast a transaction matching those parameters. Mojo does not make autonomous trading decisions and does not exercise investment discretion. All automated broadcasting is a deterministic result of parameters you configured and signed in advance. You may revoke the authorization at any time by disabling the feature in the App; revocation applies to future broadcasting only and does not affect already-broadcast transactions.
4.3 Copy Trading (Non-US Only)
Where available, copy trading mirrors the publicly displayed signals of other users ("Lead Traders"). Lead Traders are not employees, agents, or regulated advisers of Mojo and exercise no discretion over your account. By enabling copy trading, you authorize Mojo to broadcast user-signed transactions matching Lead Trader signals, subject strictly to your pre-configured position size, asset limits, and risk caps. You may disable copy trading at any time. Past performance is not indicative of future results. All gains and losses are yours; neither Mojo nor any Lead Trader is liable. Copy trading is not available in the United States.
4.4 Your Responsibilities; Wallet Screening
You are solely responsible for the security of your device, credentials, and any recovery material, and for the consequences of losing access, including the possible permanent loss of funds. Mojo cannot recover lost keys for you beyond the recovery mechanisms provided in the App. Blockchain transactions are irreversible. We use third-party wallet-screening tools and may refuse to co-sign, broadcast, delay, or block onward transactions to addresses that trigger sanctions, fraud, or illicit-activity hits without notice and without liability.
5. Fees and Subscriptions
5.1 Transaction Fees and Gas
Mojo charges a service fee on transactions that varies by venue, asset, and subscription tier. The applicable fee is displayed in the App before you confirm each trade or enable any automated feature. Rates may change from time to time and take effect on subsequent transactions after the change. For eligible transactions, the service fee is intended to cover underlying blockchain network costs ("Gas Fees"). We reserve the right to pass through Gas Fees, decline a transaction, or add a surcharge when: (a) network conditions cause Gas Fees to exceed the service fee; (b) the transaction amount is below a minimum threshold; or (c) other circumstances make covering Gas economically unviable.
5.2 Paid Subscription
We may offer an optional paid subscription (the "Subscription") providing access to premium features. The Subscription is billed monthly or annually in advance at the tier and price displayed in the App at the time of purchase.
- (a) iOS — Apple In-App Purchase. On iOS, the Subscription is sold and billed by Apple through the App Store using Apple's In-App Purchase ("IAP"). Pricing, billing currency, and taxes may differ from other platforms. Management, cancellation, and refunds for iOS subscriptions are handled by Apple through your Apple account settings and are subject to Apple's terms.
- (b) Android — Google Play Billing. On Android, the Subscription is processed through Google Play Billing under Google's terms. Subscription management and refunds are handled by Google Play.
- (c) Non-refundable. Except where billed by Apple or Google (in which case the platform's refund policy applies) or where required by applicable mandatory consumer-protection law, Subscription fees are non-refundable. You may cancel at any time; cancellation takes effect at the end of the current billing cycle with no pro-rata refund. EU/UK Consumers: by activating the Subscription you expressly request immediate performance and acknowledge that you will lose the right of withdrawal under Art. 16(m) of Directive 2011/83/EU once the Subscription begins.
- (d) Price changes. We may change pricing with at least 30 days' notice. For iOS and Android, price changes are subject to the respective platform's rules, including Apple's and Google's notification and consent requirements.
- (e) Taxes. Fees are exclusive of applicable taxes, which are your responsibility unless collected by the platform on your behalf.
5.3 No Hidden Revenue
Mojo does not charge hidden spreads on top of third-party venue quotes. Our revenue consists of disclosed service fees and Subscription fees. Mojo does not currently hold, and has no plans to issue, any proprietary token.
6. Risks You Acknowledge
By using the Services you acknowledge and accept the following risks. This list is illustrative, not exhaustive.
- (a) Market risk. Digital assets are highly volatile and may drop to zero. You may lose the entire value of your assets. There is no deposit insurance or government safety net.
- (b) AI risk. Large language models and other AI components are probabilistic, not deterministic. AI-generated analysis, summaries, and informational content may contain factual errors ("hallucinations"), may be outdated, biased, or inconsistent with actual market conditions. You must independently verify any AI output before acting on it. You are solely responsible for your trading decisions, whether or not you consulted an AI output.
- (c) Technology risk. Blockchain, smart contract, and wallet technologies carry inherent risks including hacking, exploits, code bugs, key compromise, network outages, chain reorganizations, and hard forks.
- (d) Third-party venue and infrastructure risk. Mojo broadcasts transactions to independent third-party venues, DEX aggregators, wallet infrastructure providers, data providers, and AI providers that we do not control. Their insolvency, downtime, API changes, front-running, MEV, slippage, liquidation, execution failure, or terms changes may cause losses or service disruption for which Mojo is not responsible. Your use of any third-party service is subject to that third party's own terms.
- (e) Regulatory risk. The legal status of digital assets is uncertain and evolving. You are responsible for your own regulatory and tax compliance. If you are a UK consumer, please note: crypto-asset investments are high-risk investments not normally regulated by the FCA; you are unlikely to have recourse to the Financial Ombudsman Service (FOS) or the Financial Services Compensation Scheme (FSCS) in respect of losses from crypto assets.
- (f) No guarantees. Mojo makes no guarantee of profit, accuracy, uptime, or any particular outcome. Historical or simulated performance is not indicative of future results.
7. User Content, Conduct and Enforcement
7.1 Prohibited Uses
You agree not to use the Services to: (a) violate any law or third-party right; (b) launder money, finance terrorism, evade sanctions, or commit fraud; (c) manipulate markets (wash trading, spoofing, pump-and-dump); (d) impersonate any person; (e) interfere with or gain unauthorized access to the Services; (f) reverse-engineer, decompile, or scrape at scale (except where permitted by law); (g) transmit malware, spam, or bot traffic; (h) harass, threaten, defame, or harm other users; (i) post illegal content, child sexual abuse material, non-consensual intimate images, or content promoting violence.
7.2 User Content
"User Content" means content you submit through the Services, including chat messages, shared screenshots of in-app content, trade ideas, comments, and profile information. You retain ownership. You grant Mojo a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), display, and distribute User Content solely for operating, improving, and promoting the Services. User Content, and any rankings, performance data, or historical information displayed in the App, is for informational purposes only and does not constitute investment, legal, tax, or professional advice, regardless of whether generated by you, another user, or AI. You must not rely on it as a basis for financial decisions.
7.3 Notice and Takedown
If you believe User Content is illegal or violates these Terms, notify us at support@mindorigin.co with (i) a description and location of the content, (ii) your reasons (including, where applicable, a good-faith statement regarding illegality), (iii) your contact details, and (iv) a statement of good faith. We will review notices in accordance with the EU Digital Services Act (Regulation (EU) 2022/2065) and other applicable laws, provide a statement of reasons when required, and may remove, disable, or restrict access to content we determine is illegal or violates these Terms.
7.4 Suspension and Termination
We may, at our sole discretion and without prior notice where circumstances do not permit it, remove User Content, restrict features, suspend accounts, or terminate your access when we reasonably believe you have violated these Terms or applicable law, your activity exposes Mojo or other users to legal, financial, security, or reputational risk, legal process or wallet screening requires it, or we discontinue the Services. Where feasible, we will provide prior notice; where not feasible, prompt notice afterward. You may stop using the Services at any time. Because the Services are non-custodial, termination of your Mojo account does not itself affect blockchain assets in your wallet, but if you have not backed up your recovery material you may permanently lose access.
8. Intellectual Property
Mojo, "MindOrigin," the Mojo logo, and all related marks, software, models, prompts, designs, and documentation are owned by the Company or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use only. No other rights are granted. If you submit feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free, non-confidential license to the maximum extent permitted by applicable law to use the feedback without attribution or compensation.
9. Disclaimer and Limitation of Liability
9.1 Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, ERROR-FREE, OR THAT ANY INFORMATION (INCLUDING AI-GENERATED CONTENT, PRICES, OR MARKET DATA) IS ACCURATE OR RELIABLE.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- (a) IN NO EVENT SHALL MOJO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, REPUTATION, OR TRADING OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, REGARDLESS OF LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- (b) IN NO EVENT SHALL MOJO'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (I) USD 1,000 OR (II) THE TOTAL FEES YOU PAID TO MOJO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
- (c) These limitations do not apply to liability that cannot be excluded under applicable mandatory law, including liability arising from death, personal injury, gross negligence, wilful misconduct, or fraud. Nothing in these Terms limits or excludes any rights you may have as a consumer under mandatory local law, including in the EU, UK, California, and Singapore.
9.3 Force Majeure
Mojo is not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, government action, blockchain outages, denial-of-service attacks, power or internet failures, or third-party service failures.
10. Indemnification
You agree to defend, indemnify, and hold harmless Mojo, its affiliates, and their officers, directors, employees, and agents from third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms or any law or third-party right; or (d) any tax obligations resulting from your activities. We may, at our own expense, assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate. Where a claim arises from our gross negligence, wilful misconduct, or fraud, this indemnification obligation does not apply to the extent of our fault.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.
11.2 Informal Resolution
Before filing a formal claim, contact support@mindorigin.co with a description of the dispute and the relief sought. We will attempt to resolve the matter within 30 days.
11.3 Binding Arbitration
If informal resolution fails, and subject to Section 11.4 (opt-out) and Section 11.6 (consumer carve-out), any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Rules of Arbitration in force at the time of filing, which rules are deemed incorporated by reference. Seat: Singapore. Language: English. The tribunal shall consist of 1 arbitrator; if the amount in dispute exceeds USD 1,000,000, it shall consist of 3 arbitrators. The arbitration award shall be final and binding and may be entered in any court of competent jurisdiction.
11.4 30-Day Right to Opt Out of Arbitration
You have the right to opt out of this arbitration agreement. To opt out, email support@mindorigin.co with the subject line "Arbitration Opt-Out" within 30 days of the date you first accepted these Terms, including your Mojo ID or registered email. If you opt out, neither you nor Mojo may compel the other to arbitrate, and you retain the right to bring claims in court subject to Section 11.1. Opting out has no effect on any other part of these Terms.
11.5 Class Action Waiver
YOU AND MOJO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any class proceeding.
11.6 Consumer Carve-Out
If you are a consumer domiciled in the European Union, the United Kingdom, or another jurisdiction whose mandatory consumer laws prohibit pre-dispute arbitration or class waivers, you retain the right to bring claims in your local courts to the extent required by mandatory law, and Sections 11.3, 11.4, and 11.5 do not limit that right.
11.7 No Third-Party Beneficiaries
Except for Apple as provided in Section 12, there are no third-party beneficiaries of these Terms.
12. App Store Terms
If you access the Services via the Apple App Store: (a) these Terms are between you and Mojo only, not Apple; (b) Apple has no obligation to provide maintenance or support; (c) in the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any, and to the maximum extent permitted by law Apple has no other warranty obligation; (d) Apple is not responsible for addressing any claims by you or any third party relating to the App; (e) Apple is a third-party beneficiary of these Terms and may enforce them against you. Equivalent provisions apply to the Google Play Store to the extent required by Google's terms.
13. Miscellaneous and Contact
Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Mojo and supersede any prior agreements. Severability. If any provision is held invalid, it will be enforced to the maximum extent permissible, and the remainder will remain in full force. No waiver. Our failure to enforce any provision is not a waiver of it. Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or asset sale. No agency. These Terms do not create a partnership, joint venture, employment, or agency relationship. Notices. Notices to you may be delivered via the App, push notification, or to the email address associated with your account.
Marketing emails. By creating an account, you agree that we may send you marketing emails about Mojo's products, features, and promotions at the email address associated with your account. Each marketing email includes an unsubscribe link, and you may unsubscribe at any time. Unsubscribing does not affect service communications such as security alerts, account notices, and notifications you have set up.
